Terms of Service

These Terms are a legal agreement between you and the operator of Respone (“Respone”, “we”, “us”). They govern your access to and use of the Respone apps, websites, calling and messaging services, and the AI voice agent (together, the “Service”). Please read them carefully.

01Acceptance of these terms

By creating an account, opening the app, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Service. If you use Respone on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf.

02What Respone is

Respone is a secure super-app that combines private messaging, voice and video calls with real-time AI noise cancellation, and a voice AI agent that can act on your instructions — scheduling, placing calls, and working across connected tools such as Gmail, Calendar, and Docs. The Service evolves over time; features may be added, changed, or withdrawn as we improve it.

03Eligibility

You must be at least 13 years old — or the minimum age of digital consent in your location, if that is higher — to use the Service, and you must not be barred from doing so under any applicable law. If you are under the age of majority where you live, you may use Respone only with the involvement of a parent or guardian.

04Your account

You are responsible for the accuracy of your registration details, for keeping your credentials and devices secure, and for all activity that occurs under your account. Please notify us promptly if you believe your account has been accessed without your permission.

05Acceptable use

You agree not to use the Service to:

  • Do anything unlawful, or to facilitate or encourage illegal activity.
  • Harass, threaten, defame, impersonate, or abuse anyone, or infringe the rights, privacy, or safety of others.
  • Send spam or bulk unsolicited messages, or use the calling and agent features for scams, robocalling, or deceptive outreach.
  • Distribute malware, or attempt to breach, probe, overload, disrupt, or reverse-engineer the Service or its infrastructure.
  • Circumvent security, access controls, rate limits, or the membership boundaries that scope calls and conversations.
  • Infringe intellectual-property rights, or misuse the data of connected third-party accounts.

We may suspend, restrict, or remove content or access that we reasonably believe breaches these rules or puts other users at risk.

06The AI agent

The voice AI agent acts on the instructions you give it. When you ask it to send a message, place a call, draft an email, schedule an event, or take any other action, you authorize that action and you are responsible for what you ask it to send or do — including the content, timing, and recipients — exactly as if you had done it yourself.

Because the agent relies on AI models and connected services, its output can be incomplete, inaccurate, or unexpected. Review anything important before you rely on it. Do not use the agent to contact people who have not agreed to be contacted, or in any way that would breach these Terms or the law.

07Subscriptions, billing, and payments

Parts of the Service — including certain AI-agent features — are or may become paid. Where a feature requires payment, we will show you the price, the billing period, and what is included before you subscribe. By subscribing, you authorize us and our payment processors to charge your chosen payment method for the plan you select.

Auto-renewal. Subscriptions renew automatically at the end of each billing period at the then-current price, until you cancel. You can cancel at any time from your account settings; cancellation stops the next renewal, and your paid access continues until the end of the period you have already paid for.

No refunds. Except where mandatory law requires otherwise, all payments are final and non-refundable, and we do not give refunds or credits for partial billing periods, unused time, or unused agent actions or credits. Where the law of the country you live in gives you a non-waivable right of withdrawal or refund, that right still applies.

Price changes, taxes, and non-payment. We may change prices or plans for future billing periods and will give reasonable notice first; continuing after a change takes effect means you accept the new price. Prices may be shown before tax, which we may add where required. If a payment fails or is reversed, we may suspend or downgrade paid features until it is resolved. Payments are handled by third-party payment processors under their own terms; we do not store your full card details.

08Third-party services

The Service can connect to third-party providers — including Google (Gmail, Calendar, Docs, Sheets, Meet) and AI model providers — so the agent can act for you. Your use of those services is also governed by their own terms and privacy policies, and their availability is outside our control. Granting a connection authorizes Respone to access and act within that service on your behalf, limited to the scopes you approve; you can revoke that access at any time.

09Intellectual property and your content

The Service — including the Respone apps, software, design, and brand — is owned by the operator of Respone and protected by intellectual-property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service in line with these Terms; we reserve all rights not expressly granted to you.

You keep ownership of the content you send, say, or upload, and of the results the agent produces for you. To run the Service, you grant us a limited licence to host, store, transmit, sync, and process that content — including passing the relevant parts to connected providers such as Google and AI model providers — solely to deliver the features you ask for, as described in our Privacy Policy. You are responsible for your content, and you confirm you have the rights needed to share it and to authorize the actions you ask the agent to take.

10Privacy

How we collect, use, and protect your information is described in our Privacy Policy. By using the Service, you also agree to that policy, which forms part of these Terms.

11Disclaimers

The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied — including fitness for a particular purpose, merchantability, non-infringement, and uninterrupted or error-free operation. We do not warrant that noise cancellation, transcription, translation, or agent actions will be accurate or suitable for any particular purpose. You use the Service at your own discretion and risk.

12Limitation of liability

To the fullest extent permitted by law, Respone and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, revenue, or goodwill, arising out of or related to your use of — or inability to use — the Service, including actions taken by the AI agent on your instruction. Where liability cannot lawfully be excluded, it is limited to the maximum extent permitted by applicable law.

13Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Respone and its operators from any claims, damages, losses, or costs (including reasonable legal fees) arising out of your misuse of the Service, your violation of these Terms or of any law, or your infringement of another party’s rights — including instructions you give the agent that you were not authorized to give.

14Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if we are required to by law, or where necessary to protect the Service or its users. Provisions that by their nature should survive termination — including acceptable use, disclaimers, and limitation of liability — will remain in effect afterward.

15Changes to these terms

We may update these Terms as the Service evolves. When we make material changes, we will update the “last updated” date above and, where appropriate, notify you in the app. Your continued use of the Service after the changes take effect means you accept the revised Terms.

16Governing law and disputes

Respone is offered internationally. These Terms are governed by general principles of international commercial law, applied without regard to conflict-of-law rules. Nothing here removes the mandatory consumer-protection rights you have under the law of the country where you live.

If a dispute arises, please contact us first at support@respone.ai so we can try to resolve it informally. If it is not resolved within 60 days, it will be settled by final and binding arbitration under the UNCITRAL Arbitration Rules, conducted in English by a single arbitrator, at a neutral seat agreed between the parties. Either party may still seek injunctive relief to stop misuse or infringement, and, where local law requires, consumers may bring claims in the courts of their own country.

17General

If any provision of these Terms is found unenforceable, the rest remain in full effect. Our not enforcing a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them to a successor or affiliate, for example in a merger or reorganization. Together with the Privacy Policy and any feature-specific terms shown in the app, these Terms are the entire agreement between you and us regarding the Service.
